Terms of Service
These Terms of Service ("Terms") govern your use of the Newspilot platform and website. By creating an account or accessing the service, you agree to these Terms. If you don't agree, don't use the service.
1. Definitions
- "Newspilot", "we", "us" — DataCrab AI, the operator of the Newspilot service.
- "Customer", "you" — the entity entering into these Terms.
- "Service" — the Newspilot narrative intelligence platform, including web app, APIs, and connected delivery channels.
- "Customer Content" — the dashboard configurations, queries, and other materials you upload or configure within the service.
- "Output" — the AI-generated briefings, alerts, analyses, and other deliverables the service produces for you.
2. Your account
You're responsible for the security of your account credentials, for all activity that takes place under your account, and for ensuring your team's use of the service complies with these Terms. Notify us promptly at security@newspilot.io if you suspect unauthorised access.
3. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to derive source code from the service
- Resell, sublicense, or white-label the service except under an Enterprise agreement that permits it
- Use the service to violate any law, infringe any rights, or harass any person
- Probe, scan, or attempt to circumvent security or rate-limit controls
- Use the service to train competing models or services without our written permission
- Submit personal data of third parties without a lawful basis
4. Customer Content & Output
You retain ownership of your Customer Content. You grant Newspilot a worldwide, non-exclusive licence to host, process, and analyse your Customer Content solely to deliver and improve the service for you.
You own the Output we generate for you, subject to (a) the rights of underlying source materials (which remain with their original publishers) and (b) our right to use anonymised, aggregated patterns for service improvement.
5. Source content and citations
Newspilot analyses publicly available news, social, and broadcast content. We respect publisher copyright: Output includes citation links back to source articles. You're responsible for ensuring your use of Output complies with applicable copyright, fair-use, and republication norms.
6. Subscription, payment & renewal
- Subscriptions auto-renew at the end of each billing cycle unless cancelled.
- Annual plans: pro-rated refunds available within the first 30 days. After that, fees are non-refundable.
- Monthly plans: cancel anytime; access continues through the end of the paid cycle.
- Failed payments: we'll retry. If unresolved within 14 days, we may suspend access.
- Price changes take effect at the next renewal with at least 30 days' notice.
7. Trial period
The 14-day free trial gives you full platform access. No credit card is required to start. At day 14 the trial ends; we'll prompt you to add a payment method to continue. Trial data is retained for 30 days after the trial ends before deletion.
8. Service level & availability
Newspilot targets the following uptime by plan:
- Analyst & Team: 99.5% (best-effort)
- Institution: 99.9% (contractual)
- Enterprise: 99.99% (contractual, with SLA credits as specified in your order form)
Planned maintenance is announced at least 7 days in advance and excluded from uptime calculations.
9. Warranties & disclaimers
The service is provided "as-is" and "as-available." Without limiting other disclaimers, we do not warrant that AI Output is error-free or complete. Newspilot Output is a decision-support tool, not a substitute for human judgement. You agree to use it as one input among many in your decision-making.
10. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, consequential, special, or punitive damages.
- Each party's aggregate liability is limited to the fees you paid us in the 12 months preceding the claim.
- These limitations apply regardless of the legal theory of liability.
11. Indemnification
You agree to defend and indemnify Newspilot against claims arising from (a) your Customer Content, (b) your violation of these Terms, or (c) your violation of applicable law. We agree to defend you against third-party claims that the service infringes their intellectual property rights, subject to standard carve-outs.
12. Confidentiality
Each party will protect the other's confidential information using at least the same care it uses for its own, and not less than a reasonable standard. Confidential information excludes information that is or becomes public, was independently developed, or is required to be disclosed by law.
13. Term & termination
These Terms remain in effect while you have an active account. Either party may terminate for material breach with 30 days' written notice (uncured). We may suspend immediately for security threats or non-payment after the 14-day grace period. Upon termination, we delete Customer Content within 30 days unless retention is legally required.
14. Changes to the service
We may update or modify the service over time. Material adverse changes to capabilities you rely on will be announced with at least 30 days' notice.
15. Changes to these Terms
We may update these Terms. Material changes are notified by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws of the Republic of Azerbaijan, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of Baku, except where local law gives you the right to bring proceedings in your jurisdiction of residence (EU consumers).
